1) Who we are

These Terms & Conditions (“Terms”) govern your access to and use of cucalorus.org and any related pages, forms, or services (the “Site”). The Site is operated by Cucalorus Film Foundation, a nonprofit arts organization based at 815 Princess Street, Wilmington, NC 28401. For general inquiries, please use the Site’s contact form or call (910) 343-5995.  

Cucalorus Film Foundation is recognized as a 501(c)(3) nonprofit organization.  

2) Acceptance of these Terms

By accessing or using the Site, you accept and agree to be bound by these Terms and all applicable laws. If you do not agree, do not use the Site.

3) Eligibility

You may use the Site only if you can form a binding contract with us and are not barred from using the Site under applicable law. If you use the Site on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

4) Changes to the Site and to these Terms

We may update the Site and these Terms from time to time. Changes are effective when posted here. Your continued use of the Site after changes are posted constitutes acceptance.

5) Accounts and Security (if applicable)

Some features may require you to create an account or submit information (e.g., forms for submissions, volunteering, or donations). You agree to provide accurate information and to maintain the security of your credentials. You are responsible for activity under your account.

6) Tickets, Registrations, Submissions & Donations

From time to time, the Site may offer ticketing/registration for events, submission forms (e.g., for films, projects, or programs), and donation pages processed through third-party platforms. Such offerings may be subject to additional terms presented at the time of purchase/registration/submission and those terms will control in the event of a conflict. Unless otherwise stated at checkout or required by law, all sales and fees are final and non-refundable. Donations may be tax-deductible as permitted by law; consult your tax advisor.  

7) Acceptable Use

You agree not to misuse the Site or help anyone else do so. Prohibited conduct includes, without limitation:

  • Attempting to access non-public areas or systems without authorization;
  • Interfering with or disrupting the Site or servers;
  • Introducing malware, scraping, or data-mining except as allowed by robots.txt;
  • Infringing others’ intellectual property, privacy, or publicity rights;
  • Using the Site for unlawful, fraudulent, or harassing activity.

We may suspend or terminate access for violations.

8) User Content & Submissions

If you submit, upload, or post any content via the Site (collectively, “User Content”), you represent that you have all necessary rights to do so, that your content is accurate and lawful, and that it does not infringe any third-party rights. You grant Cucalorus a non-exclusive, worldwide, royalty-free license to use, reproduce, display, and distribute your User Content in connection with operating, promoting, and improving the Site and associated programs. Where separate submission agreements exist (e.g., film submissions), those agreements control.

We may remove or refuse to display User Content that we reasonably believe violates these Terms or the law.

9) Intellectual Property

All content on the Site— including text, graphics, logos, images, video, and software— is owned by or licensed to Cucalorus and is protected by intellectual-property laws. Except as expressly permitted, you may not copy, modify, distribute, perform, display, create derivative works from, or exploit any Site content without prior written permission.

You may make limited, non-commercial, personal use of publicly available pages of the Site, provided you keep intact all copyright and proprietary notices.

10) Third-Party Services & Links

The Site may include links or integrations with third-party sites/services (for example, ticketing, submissions, or donations). Cucalorus does not control and is not responsible for third-party content, policies, or practices. Use of third-party services is at your own risk and subject to those third parties’ terms.

11) Privacy

Our collection and use of personal information through the Site is described in our Privacy Policy. By using the Site, you consent to our processing of your information consistent with that policy.

12) Accessibility

Cucalorus aims to provide an accessible experience and welcomes feedback on accessibility improvements. Please contact us via the Site’s contact form or by phone to share suggestions.  

13) Disclaimer of Warranties

The Site and all content are provided “as is” and “as available.” To the fullest extent permitted by law, Cucalorus disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Site will be uninterrupted, secure, or error-free, or that defects will be corrected.

14) Limitation of Liability

To the fullest extent permitted by law, Cucalorus and its directors, officers, employees, volunteers, agents, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, goodwill, or other intangible losses, resulting from (a) your use of or inability to use the Site; (b) any conduct or content of any third party on the Site; or (c) unauthorized access, use, or alteration of your transmissions or content.

15) Indemnification

You agree to indemnify, defend, and hold harmless Cucalorus and its affiliates, directors, officers, employees, volunteers, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your violation of these Terms or your misuse of the Site.

16) Termination

We may suspend or terminate your access to the Site at any time, with or without notice, for any reason, including if we reasonably believe you have violated these Terms or applicable law.

17) Governing Law; Venue

These Terms are governed by the laws of the State of North Carolina, without regard to its conflict-of-laws principles. You agree to the exclusive jurisdiction and venue of the state and federal courts located in New Hanover County, North Carolina, for any dispute arising out of or relating to the Site or these Terms.

18) International Use

We operate the Site from the United States and do not represent that it is appropriate or available for use in other locations. Access from territories where the Site or its content is illegal is prohibited. Users who access the Site from outside the U.S. do so on their own initiative and are responsible for compliance with local laws.

19) Children’s Use

The Site is not directed to children under 13, and we do not knowingly collect personal information from children under 13 without appropriate consent consistent with applicable law.

20) Entire Agreement; Severability; Waiver

These Terms constitute the entire agreement between you and us regarding the Site and supersede any prior or contemporaneous understandings. If any provision is held invalid, the remaining provisions will remain in full force. Our failure to enforce any provision is not a waiver.
